00:00:00
Hi, this is Cara Swisser from Scott
00:00:02
Galloway HQ. Netflix has emerged as the
00:00:05
winner in the war of the media titans.
00:00:07
The company just announced plans to
00:00:08
acquire Warner Brothers Discovery Studio
00:00:10
and streaming businesses only in a deal
00:00:12
valued at 82.7
00:00:14
billion dollars that includes debt. The
00:00:17
move follows a bidding war among
00:00:19
Netflix, Comcast, and Paramount, and
00:00:21
things have gotten contentious. Uh
00:00:24
Paramount wrote a letter to Warner
00:00:25
Brothers this week calling the process
00:00:27
tainted. Obviously, it was a clear
00:00:29
signal that David Ellison, the son of
00:00:31
Larry Ellison, whose money uh he has
00:00:34
been spending, uh was not going to get
00:00:36
the deal. Uh but Netflix appears
00:00:38
confident. It's offering a $5.5 billion
00:00:41
breakup fee just like Paramount did if
00:00:43
regulators don't approve the deal. So,
00:00:46
uh for those paying mind, as we
00:00:47
discussed on Pivot recently, it there's
00:00:50
been a definite [ __ ] that guy feel
00:00:52
related to the threat of Trump blocking
00:00:54
anyone but his cronies. like the
00:00:56
Ellison's from owning all the juicy
00:00:58
bits. The the deal was existential to
00:01:01
both Comcast and Netflix. One of them I
00:01:03
felt was going to get it and they were
00:01:05
not going to back down in the face of
00:01:06
Paramount's really clottish Nepo Baby
00:01:09
and Big Daddy shaking a Trump stick at
00:01:10
them. And it's a real opportunity cuz
00:01:12
Netflix, which usually would be the
00:01:14
villain in this story, um has shifted
00:01:16
the villain over to Paramount.
00:01:18
Paramount, many people feel, is going to
00:01:20
go hostile uh and take the matter to
00:01:22
shareholders presenting their deal. um
00:01:25
that letter was sort of the first uh
00:01:27
parry in that fight. I think it's a
00:01:29
mistake for them because I don't think
00:01:30
they have goodwill of Hollywood and
00:01:31
oddly enough Netflix and Ted Sarando's
00:01:34
its very crafty CEO does. Um I think
00:01:37
Netflix is a very gutsy company and so
00:01:40
they obviously have calculated their
00:01:42
fight is worth having away from all this
00:01:44
all this drama is that this is a major
00:01:48
turning event for Hollywood with
00:01:49
Netflix. It'll change the way movies are
00:01:51
released. Ted Sarandos is not a fan of
00:01:53
long windows uh into theaters. So he
00:01:56
will face opposition from theater
00:01:57
owners. He will face opposition from
00:01:59
writers. All these companies will as the
00:02:01
consolidation of Hollywood goes on. But
00:02:04
it's really a consolidating time.
00:02:06
Paramount uh could go hostile. It might.
00:02:08
It certainly has enough money. It just
00:02:10
whether Larry Ellison wants to do it. I
00:02:12
think David Ellison has really
00:02:14
misstepped here pretty badly. So it's up
00:02:16
to his dad to decide uh because he has
00:02:18
all the money. Obviously, there's going
00:02:20
to be a legal battle with the Justice
00:02:21
Department. So, they've got to deal with
00:02:23
that. You're seeing a real push back
00:02:24
from companies who decided to take on
00:02:26
the Trump uh administration. Most
00:02:28
companies have been really acquiescent.
00:02:30
And I think they feel a shift has
00:02:31
happened that Trump's power is waning.
00:02:33
This is going to get uh worse before it
00:02:35
gets better. And you will see a real
00:02:38
reflection from Hollywood of what has
00:02:39
happened, which is tech has, no matter
00:02:41
how you slice it, taken over. the other
00:02:44
companies to watch. You might see a
00:02:45
Disney Comcast or Apple Disney and
00:02:48
everything else. So, uh, buckle up your
00:02:50
seat belts, uh, as they say in the
00:02:52
movies. It's going to be a bumpy ride.
